- Risks Relating to the Business: The company's business may be adversely affected if its fails to adapt to rapid technological changes and evolving industry standards, or if the company is unable to successfully enhance its existing products and services or develop new offerings.
- Risks Relating to the Business: The company has had negative cash flows in the past from investing activities and financing activities. Any sustained negative cash flow could adversely impact its business, financial condition and results of operations.
- Risks Relating to the Business: The company has not entered into formal agreements with some channel partners for joint sales strategies, which could have a material adverse effect on its business, financial condition, and results of operations.
- Risks Relating to the Business: Defects, errors, or disruptions in the company's software products and services, or potential misuse of its platforms, could result in liability, loss of customers, and reputational harm.
- Risks Relating to the Business: The Company requires significant amounts of working capital for a continued growth. The company's working capital requirement was Rs.3,522.28 lakhs, Rs.2,364.04 lakhs and Rs.2,343.23 lakhs for Fiscal 2026, Fiscal 2025 and Fiscal 2024, respectively. The company's inability to meet its working capital requirements may have an adverse effect on the company's results of operations.
- Risks Relating to the Business: The company's success depends largely on its ability to attract and retain skilled personnel. The company's employee benefits expenses were Rs.2,204.25 lakhs, Rs.2,337.96 lakhs, and Rs.1,876.90 lakhs, representing 33.44%, 40.46%, and 41.15% of its Total Income for the Fiscal 2026, Fiscal 2025, and Fiscal 2024, respectively. High attrition or the company's inability to attract and retain such personnel in this highly skilled and technical employee-intensive industry could adversely affect its business and results of operations.
- Risks Relating to the Business: The company does not own any premises, including its Registered Office and operates from coworking spaces, relies on lease agreements. If these agreements are terminated on shorter notice or revoked by the Lessor, the company's business and results of operations could be adveresly affected.
- Risks Relating to the Business: The company's business operations are dependent on Information Technology systems which are vulnerable to cybersecurity threats, unauthorized access, and system failures. Any failures to maintain cyber security or comply with evolving data privacy and protection laws could lead to operational disruptions, legal liability, and reputational harm.
- Risks Relating to the Business: The company's Promoters are party to certain litigation and claims. These legal proceedings are pending at different levels of adjudication before various forums and regulatory authorities. Any adverse decision may make the company liable to penalties and may adversely affect its reputation, business, and financial status.
- Risks Relating to the Business: There have been some instances of delayed filing/ incorrect filings in the past with the Registrar of Companies which may attract penalties. Consequently, the Company may be subject to regulatory actions and penalties for such delays which may adversely impact its business and financial condition.
- Risks Relating to the Business: There have been instances of delays in payment and deposit of certain statutory dues by the Company, including Professional Tax ("PT"), Goods and Services Tax ("GST") and Tax Deducted at Source ("TDS"), which may expose it to interest, penalties and other consequences and could adversely affect the company's business, financial condition, results of operations and cash flows.
- Risks Relating to the Business: Its Group Company, Vedanshi Infotech Private Limited, may engaged in a business similar to that of its. Although the company has entered into a non-compete agreement with its Group Company, the company cannot assure you that conflict of interest will not arise in the future, which may adversely affect its business, financial condition, results of operations and prospects.
- Risks Relating to the Business: The company's Executive Directors lacks prior experience in managing a listed company, which may expose the Company to various regulatory and functional risks.
- Risks Relating to the Business: The company's Promoters currently hold 80.38% of its paid-up equity share capital and will continue to retain majority control after the completion of the Offer. This allows them to influence the outcome of matters requiring shareholder approval, and their interests may differ from those of other shareholders.

- Risks Relating to the Business: The company's subsidiary financial statements have not been audited by an auditor in its host country and, although audited/limited reviewed by the statutory auditors of the Company, may be subject to limitations, which could affect the accuracy and reliability of the financial information presented in this Red Herring Prospectus.
- Risks Relating to the Business: The company is dependent on its Senior Management Personnel and Key Managerial Personnel. The loss of or the company's inability to attract or retain such persons could adversely affect its business, results of operations, financial condition and cash flows.
