- Risks Relating to the Business: Substantial portion of the company's revenue has been dependent upon few customers with which the company does not have any firm commitments. The loss of any such customers or reduction in business or demand from such customers will have a significant adverse impact on its business and results of operation.
- Risks Relating to the Business: The Company is significantly dependent on a limited number of suppliers for the procurement of raw materials. Any disruption, delay, or termination of business relationships with one or more of these key suppliers could adversely affect the company's ability to maintain inventory levels, fulfill customer demand, and operates efficiently.
- Risks Relating to the Business: Any disruptions to the supply, or increases in the pricing, of the raw materials and finished products that the company procure, may adversely affect the supply and pricing of its products and, in turn, adversely affect the company's business, cash flows, financial condition and results of operations.
- Risks Relating to the Business: The company generates its major portion of revenue from the company operations from one state of the country. Any adverse developments affecting its operations in this state could have an adverse impact on the company's revenue and results of operations.
- Risks Relating to the Business: The company's business is exposed to risks associated with international trade, foreign exchange fluctuations and cross border operations.
- Risks Relating to the Business: The company's manufacturing facilities are located only in the state of Uttar Pradesh. Any adverse developments affecting its operations in Uttar Pradesh could have an adverse impact on the company's revenue and results of operations.
- Risks Relating to the Business: Under-utilization of the company's manufacturing capacities may have an adverse effect on its business, future prospects and future financial performance. Moreover, information relating to capacity utilization of the company's production facility included in this Red Herring Prospectus is based on certain assumptions and has been subjected to rounding off and future production and capacity utilization may vary.
- Risks Relating to the Business: The company's inability to collect receivables from its customers, or any default in payment by them, could adversely affect the company profitability, cash flows, and financial condition.
- Risks Relating to the Business: The company's Registered Office, manufacturing units, godowns and warehouses from where its operates are not owned by the company.
- Risks Relating to the Business: The company has not yet placed orders in relation to the capital expenditure to be incurred for the proposed purchase of equipment/ machineries. Any delays or cost escalations in the proposed purchase of plant and machinery for the Company could affect the implementation schedule and deployment of the Net Proceeds.
- Risks Relating to the Business: The Company has had negative cash flows in the past years, details of which are given below. Sustained negative cash flow could impact on the company's growth and Business.
- Risks Relating to the Business: In case of the company's inability to obtain, renew or maintain the statutory and regulatory licenses, permits and approvals required to operates its business it may have a material adverse effect on the company's business.
- Risks Relating to the Business: Common pursuits exist between S.K. Offset Limited and Arun Packers and Printers i.e. Sole-proprietorship concerns of Promoter Group member, Mithlesh Gupta.
- Risks Relating to the Business: The company's Restated Financial Information is prepared and signed by the Peer Review Auditor who is not Statutory Auditors of the Company as required under the provisions of ICDR.
- Risks Relating to the Business: The Company failures to maintain the quality standards of the products or keep pace with the technological developments could adversely impact its business, results of operations and financial condition.
- Risks Relating to the Business: Any Penalty or demand raised by statutory authorities in future will affect its financial position of the Company.
- Risks Relating to the Business: There are certain discrepancies/errors/delay filings/untraceable forms & challans noticed in some of the company's corporate records relating to forms filed with the Registrar of Companies and other provisions of Companies Act 2013. Any penalty or action taken by any regulatory authorities in future, for non-compliance with provisions of corporate or any other law could impact the financial position of the Company to that extent.
- Risks Relating to the Business: Any inaccurate inventory management in the company's printing, packaging and labeling business may adversely impact its goodwill, business operations, financial condition, and results of operations.
- Risks Relating to the Business: The Company is reliant on the demand of the Offset Printing, Packaging & Labeling industry for a significant portion of its revenue. Any downturn in the industry or an inability to increase or effectively manage its sales could have an adverse impact on the Company's business and results of operations.
- Risks Relating to the Business: The company's business is working capital intensive. If its experience insufficient cash flows to meet required payments on the company's working capital requirements, there may be an adverse effect on the results of its operations.
- Risks Relating to the Business: The orders placed by customers may be delayed, modified or cancelled, which may have an adverse effect on the company's Business, financial condition and results of operations.
- Risks Relating to the Business: The Company has entered into related party transactions in the past and may continue to enters into related party transactions in the future, which may potentially involve conflicts of interest with the Equity Shareholders.

- Risks Relating to the Business: All the Directors (except Tanishq Gakhar) of the Company does not have prior experience of directorship in any of the companies listed on recognized stock exchanges, therefore, they will be able to provide only a limited guidance in relation to the affairs of the Company post listing.

- Risks Relating to the Business: Within the parameters as mentioned in the section titled "Objects of this Issue" beginning on page 95 of this Red Herring Prospectus, the Company's management will have flexibility in applying the proceeds of the Issue. The fund requirement and deployment mentioned in the Objects of this Issue have not been appraised by any bank or financial institution.
