- Risks Relating to the Business: The company's brand and reputation are important to its business. Any adverse publicity or intellectual property dispute relating to the "ORIENT" brand may adversely affect the company's business, results of operations, prospects and cash flows.
- Risks Relating to the Business: Significant increases or fluctuations in prices of, or shortages of, or delays or disruptions in the supply of primary raw materials, of which over 74.91% and 69.71% were sourced from the company's top 10 suppliers in the three months period ended June 30, 2026 and Fiscal 2026, respectively, could adversely impact its estimated costs, project timelines, and expenditures, and may have a material adverse effect on the company's business, financial condition, results of operations and cash flows.
- Risks Relating to the Business: The company derives 84.00% and 76.52% of its revenue from operations from the company's top 10 customers as of the three months period ended June 30, 2026 and Fiscal 2026, respectively. If one or more of such customers choose not to source their requirements from the company or to terminate its contracts or purchase orders, the company's business, cash flows, financial condition and results of operations may be adversely affected.
- Risks Relating to the Business: The company is subject to strict quality requirements and any product defect issues or failures by the company or its raw material suppliers to comply with quality standards may lead to the cancellation of existing and future orders, recalls or warranty and exposure to potential product liability claims.
- Risks Relating to the Business: The company's continued operations at two of its Manufacturing Facilities, concentrated in Rajasthan are critical to the company's business and any disruption, breakdown or shutdown of its manufacturing facilities or any significant social, political, economic or seasonal disruption, natural calamities or civil disruptions in Rajasthan may have an adverse effect on the company's business, financial condition, results of operations and cash flows.
- Risks Relating to the Business: Any underutilization of the company's manufacturing capacities could have an adverse effect on its business, future prospects and future financial performance.
- Risks Relating to the Business: The company has not availed any credit rating since Fiscal 2025 and the last credit ratings assigned to the company was CRISIL B /Stable (Issuer not cooperating) by way of letter dated December 29, 2023 and CRISIL B /Stable (Issuer not cooperating; Rating continues at the same level) dated November 29, 2024. Any adverse perception arising from the absence of a current credit rating, or from its previous credit rating may affect the Company's ability to avail of debt and could also impact the trading price of the Equity Shares.
- Risks Relating to the Business: The company's Statutory Auditors have included certain emphasis of matter and/or observations on the Companies (Auditor's Report) Order, 2020 ("CARO") in their reports for the financial statements as of and for the Fiscals 2026, 2025 and 2024.
- Risks Relating to the Business: One of the members of the Promoter Group, Radhika Julka, the sister of the company's Promoter Vipul Nagpal, has been disclosed in the list of Wilful Defaulters. While the company has been informed that the bank statements indicate that the loan has been repaid, the no objection certificate from the bank is awaited.
- Risks Relating to the Business: The company has had negative cash flows from operating and investing activities in the three months period ended June 30, 2026, Fiscal 2026 and Fiscal 2025 and may continue to have negative cash flows in the future which could have an impact on the company's business and operations.
- Risks Relating to the Business: The company's business is dependent on timely availability of working capital and delays in receivables collection may significantly affect its operations, financial condition, and prospects.
- Risks Relating to the Business: The company is heavily dependent on the performance of the networking cables in the wires and cables industry and the performance of the end-user industries. Any adverse changes in the conditions affecting the broadband wires and cables industry or the end-user industries in which the company's customers operates can adversely impact its business, financial condition, results of operations, cash flows and prospects.
- Risks Relating to the Business: Some of the company's Directors and Promoters may have interest in entities, which are in businesses similar to its and this may result in conflict of interest with the company. Further, its Promoters may enters into ventures that may lead to real or potential conflicts of interest with the company's business.
- Risks Relating to the Business: The company Return on Net Worth(%) has declined from 37.26% in Fiscal 2024 to 34.60% in Fiscal 2025 to 25.84% in Fiscal 2026. A sustained decline in its RoNW may indicate reduced efficiency in generating profits from shareholders funds and may impact the perception of the company's financial performance, capital efficiency and overall profitability.
- Risks Relating to the Business: The company faces significant competitive pressures in its business. The company's inability to compete effectively would be detrimental to its business and future prospects.
- Risks Relating to the Business: If the company is unable to introduce new products and respond to changing customer preferences in a timely and effective manner or if its products become obsolete due to a breakthrough in the development of technology or alternate products, the demand for the company's products may decline, which may have an adverse effect on its business, cash flows, results of operations and financial condition.
- Risks Relating to the Business: The company is dependent on third-party contract labourers for several aspects relating to its manufacturing activities. Any defect, damage or destruction caused to its products during the process of delivery could adversely affect the company's business, financial condition and results of operations.

- Risks Relating to the Business: There has been one instance of non-compliance with certain environmental laws in the past and the terms and conditions of approvals issued under such laws in relation to its Unit II. Any such failures to comply with environmental laws and/or the terms and conditions of approvals issued under such environmental laws and regulations could subject it to penalties and other regulatory actions, impact the company's ability to obtain or renew such approvals in a timely manner/ at all and may also adversely affect its ability to operates the company units and consequently affect its results of operations.
- Risks Relating to the Business: The company's insurance coverage may not be adequate to protect it against all potential losses to which the company may be subject, and this may have an adverse effect on its business.
- Risks Relating to the Business: The company has invested in debt instruments which are unsecured. Any decline in the value of its investments will not be backed up by security and may adversely affect the company's financial condition.
- Risks Relating to the Business: A portion of the company's revenue and expenses are denominated in foreign currency. The company is exposed to foreign currency fluctuation risks, in relation to import of raw materials and export of products, which may adversely affect its results of operations, financial condition and cash flows.

- Risks Relating to the Business: The company has not yet placed orders in relation to the capital expenditure for the purchase of equipment and machinery for its Manufacturing Facilities. - Risks Relating to the Business: The company's entry into new product segments, such as E-beam cables, solar junction boxes, passive networking components, automotive and appliance harnesses, power cords, tethered drone systems and EV charging assemblies, may expose it to significant risks, and the company's inability to successfully develop, commercialize and scale these products could adversely affect its business, financial condition, results of operations and cash flows.
- Risks Relating to the Business: The Company, Promoters, Directors, Key Managerial Personnel, Senior Management Personnel, Subsidiary and Group Companies may be involved in outstanding legal proceedings and any adverse outcome in any of these proceedings may adversely impact the company's business, cash flows, results of operations, financial condition and prospects.
- Risks Relating to the Business: Certain challans for the forms filed by the company with the RoC, are not traceable. While the company has conducted a search with the RoC, in respect of the unavailability of such challans, its cannot assure you that such forms or records will be available at all or any time in the future.
- Risks Relating to the Business: The company has not been able to obtain certain records of educational qualifications of one of its Senior Management Personnel, and have relied on certificates and marksheets furnished by him for such details of their profile, included in this Red Herring Prospectus.
- Risks Relating to the Business: The company has had instance of delays in payments of statutory dues by the Company. Any delays in payment of statutory dues may attract financial penalties from the respective government authorities and in turn may have an adverse impact on its financial condition and cash flows.
