Introduction

AIFs are private pools that take money from wealthy individuals, family offices and institutions, and invest it outside the stock market: in private loans, roads, power lines and offices.

Indian alternative investment funds (AIFs) had received ~₹17 lakh Cr of commitments by FY26. That is more than 129x the FY14 figure.

Domestic institutions manage ~₹135 lakh Cr of assets, and regulators have been easing the rules that kept them out of AIFs.

And, the field is concentrated. Top three large managers took ~75% of the ~US$33 bn raised by large Indian alternative managers over the last decade.

EAAA India Alternatives Limited (EAAA), formerly Edelweiss Alternative Asset Advisors, is among the biggest of them in this market by AUM, at ~$10 bn. They’re going live for an IPO consisting of an Offer for Sale of ₹1,200 Cr, from 26th to 28th Oct, 2026.

The Business Model

EAAA was set up in Mumbai in 2008 as Edelweiss Alternative Asset Advisors Limited and took its current name in August 2024. It is part of the Edelweiss group. Promoter Edelweiss Securities and Investments Private Limited (ESIPL) holds ~90% of EAAA’s shares pre-issue.

EAAA raises money from investors into closed-ended funds and invests it in infrastructure, offices and loans to companies. Clients commit money for ~5-10 years.

The funds draw this money as they find investments, and pay it back as those investments earn income or are sold.

As on June 30, 2026, EAAA had ₹95,345 Cr of AUM, measured as total commitments in its active funds.

It earns fees on a smaller base, in fact, its fee-paying AUM (FPAUM), were ₹48,623 Cr.

It runs two main verticals:

  • Real Assets: equity, quasi-equity and debt in infrastructure and commercial real estate. It has 10 active funds, including two InvITs, with FPAUM of ₹28,040 Cr. The portfolio includes 4,586 lane km of roads, 1,835 circuit km of transmission lines, 1.73 GW of solar assets and 3.10 mn sq ft of offices.
  • Private Credit: loans and convertible debt to companies, across performing credit, special situations (firms reviving after stress), real estate credit and investment grade credit. It has 16 active funds with FPAUM of ₹19,272 Cr. It has made 190 investments worth ₹42,408 Cr and fully exited 140.
  • Others: co-investment PMS and other products, with FPAUM of ₹1,311 Cr.

EAAA earns money in three ways:

  • Management and Advisory Fees: a percentage of capital committed, capital invested, NAV or gross block, as set in each fund’s documents. These made up 60% of FY26 Total Income.
  • Variable Additional Return (VAR): EAAA’s share of a fund’s gains once the fund has beaten its hurdle return for investors. EAAA books VAR only three years after a fund’s first close, and only if the fund’s return is at least 1.25 times its hurdle rate. VAR made up 30% of FY26 Total Income.
  • GP Income: returns on EAAA’s own money invested in its funds, on the same terms as clients. Its sponsor commitment ranged from 0.93% to 4.61% of fund size for funds launched from FY24 to June 2026. GP Income made up 8% of FY26 Total Income.

A subsidiary, Sekura India Management, runs most of the Real Assets portfolio with 58 staff across 16 states. It handles operations, maintenance and turnarounds, and also monitors the companies the credit funds lend to.

EAAA reaches global pension funds, insurers and banks directly, through a 13-member coverage team and offices in Mumbai, New Delhi, GIFT City and Singapore. Global institutional clients have committed ~US$4.96 bn. It reaches Indian HNIs and family offices through 53 distributors, chaperoning partners and offshore relationship managers.

Unit Economics (% of Average FPAUM)

  • Total Income rose from 2.16% of average FPAUM in FY24 to 2.45% in both FY25 and FY26. The management fee stayed between 1.47% and 1.49%. The gain came from VAR (Variable Additional Return), which rose from 0.35% to 0.74%.
  • Employee cost rose from 0.80% to 0.97% of average FPAUM. The bonus paid to staff out of VAR went from 0.31% to 0.41%, and ESOP cost added 0.08% in FY26.
  • Selling and distribution cost, paid to distributors for raising funds, rose from 0.19% to 0.24%.
  • Adj. EBITDA rose from 0.94% of average FPAUM in FY24 to 1.07% in FY25, and was 1.06% in FY26. The margin held between 43% and 44%.

Operating Metrics

  • AUM rose 33% from ₹54,679 Cr in FY24 to ₹72,706 Cr in FY26, then 31% in three months to ₹95,345 Cr in June 2026. FPAUM rose 47% from FY24 to FY26, but only 9% in the June quarter, so it fell to 51% of AUM.
  • Fund raise in Q1 FY27 was ₹20,380 Cr, nearly twice the ₹10,855 Cr raised in all of FY26. In FY27, EAAA listed the Citius Transnet InvIT and raised ₹7,500 Cr for ISAF IV. Realisations, the money funds get back from investments, rose from ₹7,386 Cr in FY24 to ₹11,588 Cr in FY26. The cash receipt of VAR depends on these realisations.
  • Real Assets went from 47% of FPAUM in FY24 to 58% in June 2026, while Private Credit fell from 53% to 40%. Private Credit is 56% of AUM but 40% of FPAUM. Real Assets is 42% of AUM and 58% of FPAUM.
  • Clients rose from 3,091 in FY24 to 5,936 in FY26 and 11,009 in June 2026. Repeat clients, those in more than one EAAA fund, rose from 621 to 1,493, and their commitments make up 77% of AUM. Clients with commitments above ₹500 Cr went from 18 to 31. The distributor network grew from 13 to 53.
  • Non-institutional clients (HNIs, UHNIs, family offices, corporates and others) rose from 35% of AUM in FY24 to 51% in June 2026.

The Financial Stuff

  • Revenue from operations, including fees and VAR, went from ₹493 Cr to ₹870 Cr from FY24 to FY26.
  • Adj. EBITDA went from ₹255 Cr to ₹418 Cr over the same period, with the margin between 43% and 44% each year.
  • PAT went from ₹175 Cr to ₹265 Cr, and PAT Margin slipped a bit from 30% to 28%. FY26 carried a ₹10 Cr exceptional charge due to the new labour codes.
  • Finance Costs rose from ₹36 Cr to ₹56 Cr from FY24 to FY26, though borrowings actually fell from ₹507 Cr in FY25 to ₹441 Cr in FY26.

EAAA’s Peers (FY26)

  • EAAA has the second smallest Total Income, at ₹964 Cr. Gaja is smaller at ₹158 Cr, and ICICI Prudential AMC is the largest at ₹6,088 Cr.
  • Its PAT margin of 28% is among the lowest. HDFC AMC’s 62% Margin is a very high benchmark for peers.
  • Its Cost to Income ratio of 64% is among the highest, but Nuvama’s 71% towers..
  • RoE of 26% sits in the middle of a peer range that goes up to 86%.

At the upper band of ₹1,665 and FY26 basic EPS of ₹41.26, EAAA will trade at a P/E of ~40.4x. Peers include 32.8x at HDFC AMC, 20.2x at Gaja, 37.9x at Nippon, among others.

Key Risks

  • VAR is lumpy and partly unrealised: VAR made up 30% of FY26 Total Income and 32% in Q1FY27, up from 16% in FY24. Of the ₹685 Cr of VAR booked from FY24 to June 2026, ₹398 Cr has been received in cash. Its timing depends on fund performance, exits and market conditions, which EAAA does not control.
  • Staff take a large share of VAR: VAR-linked bonus was 89% of VAR in FY24, 69% in FY25, 55% in FY26. Net of this bonus, VAR was ₹129 Cr in FY26 and ₹26 Cr in Q1 FY27. A change in this split could hurt either profit or staff retention.
  • Regulatory: A SEBI inspection of certain EAAA funds found inadequate disclosure of potential conflicts of interest and inaccurate compliance test reports. EAAA has filed a settlement application, which is pending, and SEBI issued administrative warnings in Jul 2026.
  • Foreign clients: Clients outside India held 34% of AUM in June 2026. This exposes EAAA to different legal and regulatory regimes.
